1. Introduction
LogiX Cloud ERP is a software-as-a-service platform owned and operated by Flair Software Solutions LLC, having its registered office at Dubai, UAE (“Company”, “we”, “us”, or “our”).
Flair Softwares Pvt. Ltd, having its registered office at [India Registered Address], may act as our affiliated technology, development, implementation, support, maintenance, or processing entity for LogiX Cloud ERP.
By accessing, subscribing to, or using LogiX Cloud ERP, the customer, tenant, user, or authorized representative (“Customer”, “Tenant”, “User”, or “you”) agrees to these Terms and Conditions.
If you do not agree with these Terms and Conditions, you should not access or use LogiX Cloud ERP.
2. Contracting Entity
Unless otherwise stated in the applicable quotation, invoice, service order, subscription plan, or written agreement, the LogiX Cloud ERP service is provided by Flair Software Solutions LLC.
The contracting entity for each Customer shall be the company named in the applicable quotation, invoice, service order, or written agreement.
Where our Indian affiliate assists with development, support, implementation, maintenance, troubleshooting, hosting support, or service operations, such affiliate acts only for the purpose of supporting and delivering LogiX Cloud ERP services.
3. Scope of Service
LogiX Cloud ERP provides cloud-based business software for logistics, shipping, finance, accounting, document management, reporting, customer management, vendor management, eInvoice, MPCI, eFBL, and related operational workflows.
The features, modules, users, storage, support level, pricing, service level, implementation scope, customization scope, and commercial terms shall be as mentioned in the applicable quotation, invoice, service order, subscription plan, or written agreement.
4. User Account Responsibility
Customers are responsible for maintaining the confidentiality of user IDs, passwords, access rights, roles, permissions, and account credentials.
All activities performed through Customer user accounts shall be treated as authorized unless reported otherwise.
Customers must immediately notify us of any unauthorized access, suspected data breach, misuse of credentials, or security incident related to their account.
5. Acceptable Use
Users must not misuse LogiX Cloud ERP or use it for unlawful, fraudulent, harmful, or unauthorized purposes.
Users must not:
- Copy, modify, reverse engineer, decompile, or attempt to extract the source code of the platform
- Bypass security controls, subscription limits, licensing controls, or access restrictions
- Access or attempt to access another tenant’s data
- Upload malicious files, viruses, scripts, or harmful content
- Perform unauthorized data scraping, harvesting, or automated extraction
- Interfere with system performance, availability, or security
- Use the platform in violation of applicable laws, regulations, or third-party rights
We may suspend, restrict, or terminate access if any activity creates legal, security, operational, or service risk.
6. Intellectual Property
The LogiX Cloud ERP platform, including its software, source code, database structure, architecture, workflows, business logic, dashboards, reports, designs, documentation, user interfaces, algorithms, operational processes, and related materials, is the exclusive property of Flair Software Solutions LLC and/or its affiliated entities.
Customers receive only a limited, non-exclusive, non-transferable, revocable right to access and use LogiX Cloud ERP during the active subscription period.
No ownership, source code rights, intellectual property rights, or proprietary rights are transferred to the Customer.
7. Customer Data Ownership
The Customer remains the owner of its business data entered, uploaded, imported, generated, or processed within LogiX Cloud ERP.
Customer data may include shipment records, customer records, supplier records, shipper and consignee details, vendor details, invoices, vouchers, accounting records, tax records, reports, uploaded documents, eInvoice records, MPCI records, eFBL records, and other business information.
We do not claim ownership over Customer data.
The Customer is responsible for the accuracy, legality, quality, authorization, and completeness of all data entered, uploaded, imported, or processed through LogiX Cloud ERP.
8. Document Uploads and Attachments
LogiX Cloud ERP may allow users to upload, store, view, download, and attach operational, finance, shipping, accounting, tax, compliance, and business documents to vouchers, shipments, invoices, purchases, receipts, reports, or other records.
Uploaded documents may include invoices, bills, receipts, vouchers, shipment documents, tax documents, customer documents, supplier documents, eInvoice files, MPCI records, eFBL documents, and other operational or finance attachments.
The Customer is responsible for ensuring that uploaded documents are lawful, accurate, authorized, and do not violate third-party rights.
9. Cloud Infrastructure and Third-Party Services
LogiX Cloud ERP may use cloud infrastructure, hosting providers, database services, document storage services, backup services, email services, SMS services, monitoring tools, support tools, APIs, and other third-party service providers to operate and deliver the platform.
LogiX Cloud ERP may also integrate with third-party services, government-related systems, eInvoice providers, PEPPOL networks, MPCI filing systems, FIATA eFBL/document exchange platforms, payment providers, and other logistics or finance service providers.
Third-party services may have their own terms, privacy policies, security practices, processing locations, availability, technical limitations, and service rules. We are not responsible for downtime, rejection, validation errors, policy changes, service interruptions, or processing delays caused by third-party systems.
10. eInvoice, MPCI, and eFBL Services
Where the Customer uses eInvoice, MPCI, eFBL, PEPPOL, filing, validation, or digital document exchange features, LogiX Cloud ERP may transmit, receive, validate, store, and process required business data with authorized third-party platforms, access points, government-related systems, filing systems, or document exchange networks.
The Customer is responsible for ensuring that all information submitted through these features is accurate, complete, authorized, and compliant with applicable laws, tax rules, customs rules, shipping rules, and document exchange standards.
We may provide validations, templates, reports, status tracking, and integration tools, but final responsibility for business, tax, shipping, accounting, and regulatory compliance remains with the Customer.
11. Data Export
Customers may export available records and reports using the export, report, and bulk download features provided in LogiX Cloud ERP.
Data export may be subject to active subscription status, technical feasibility, user permissions, module access, storage limits, applicable agreement terms, and legal requirements.
12. Fees and Payment
Subscription fees, setup charges, implementation charges, customization charges, support fees, storage charges, taxes, renewal terms, and payment timelines shall be as stated in the applicable quotation, invoice, service order, or written agreement.
Delayed or non-payment may result in suspension, restriction, or termination of access after reasonable notice, subject to the applicable agreement.
All applicable taxes, duties, levies, and government charges shall be borne by the Customer unless specifically stated otherwise.
13. Support and Service Level Agreement
Support scope, response timelines, uptime commitments, backup policy, maintenance windows, escalation process, and other service level commitments shall be governed by the applicable quotation, service level agreement, or written agreement.
We may perform scheduled maintenance, emergency maintenance, upgrades, patches, security updates, and infrastructure improvements when required.
We will make reasonable efforts to minimize service disruption.
14. Security
We use reasonable technical and organizational measures to protect the platform and Customer data.
Customers are responsible for maintaining strong passwords, assigning correct user permissions, reviewing user access, and ensuring that their users follow proper security practices.
No cloud platform, internet service, or electronic transmission can be guaranteed to be completely secure.
15. Confidentiality
Each party may receive confidential or proprietary information from the other party during the use or provision of LogiX Cloud ERP.
Both parties agree to protect confidential information with reasonable care and not disclose it to unauthorized third parties, except where required for service delivery, support, legal compliance, audit, security, or as otherwise permitted in writing.
16. Disclaimer of Warranties
LogiX Cloud ERP is provided on a SaaS basis and, except as specifically agreed in writing, is provided “as is” and “as available.”
We do not guarantee that the platform will always be uninterrupted, error-free, or suitable for every specific business requirement.
The Customer is responsible for verifying reports, transactions, accounting outputs, tax calculations, eInvoice submissions, MPCI filings, eFBL documents, and other business outputs before relying on or submitting them to any authority, customer, vendor, or third party.
17. Limitation of Liability
To the maximum extent permitted by law, Flair Software Solutions LLC, its affiliates, directors, employees, agents, vendors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or business loss damages.
This includes loss of profit, revenue, business, goodwill, data, opportunity, or business interruption.
Unless separately agreed in writing, our total liability shall not exceed the subscription fees actually paid by the Customer for the affected service during the three months immediately before the event giving rise to the claim.
18. Suspension and Termination
We may suspend, restrict, or terminate access if:
- The Customer fails to pay applicable fees
- The Customer or its users violate these Terms
- The Customer misuses the platform
- The Customer creates legal, security, operational, or reputational risk
- Required by law, regulation, court order, government authority, or third-party service restriction
Upon termination, data export, retention, archival, and deletion shall be handled according to the applicable agreement, SLA, backup policy, and legal requirements.
19. Force Majeure
Neither party shall be liable for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, war, terrorism, strikes, government action, cyberattacks, internet failure, cloud provider outage, power failure, or third-party service disruption.
The affected party shall make reasonable efforts to resume performance as soon as practicable.
20. Changes to Terms
We may update these Terms from time to time due to legal, technical, operational, security, or business reasons.
Updated Terms may be published on the website, inside the platform, or communicated through official channels.
Continued use of LogiX Cloud ERP after updated Terms become effective shall mean acceptance of the revised Terms, where permitted by law.
21. Governing Law and Jurisdiction
Unless otherwise stated in the applicable quotation, invoice, service order, or written agreement, these Terms shall be governed by the laws of the United Arab Emirates.
Subject to any separate written agreement, disputes shall be subject to the jurisdiction of the courts located at Dubai, UAE.
For Customers contracted directly with the Indian affiliate, the applicable governing law and jurisdiction may be stated separately in the relevant quotation, invoice, service order, or written agreement.
